Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and Lyntech Studio concerning your access to and use of our website and services. • Engage in any conduct that restricts or inhibits anyone's use of the services
• Transmit any viruses, malware, or other harmful code
• Attempt to gain unauthorized access to our systems or networks
• Use our services for any commercial purpose without our express written consent
• Impersonate or attempt to impersonate the Company or any employee or representative

Intellectual Property Rights

Our Content

The content, features, and functionality of our website and services, including but not limited to text, graphics, logos, images, and software, are owned by Lyntech Studio and are protected by international copyright, trademark, and other intellectual property laws.

Client Content and Work Product

Upon full payment for services rendered, you will own the final deliverables created specifically for you. However, we retain the right to use general concepts, techniques, and know-how developed during the project for other clients. Any pre-existing materials, templates, or code libraries remain our property.

Payment Terms

Payment terms will be specified in individual service agreements or proposals. General payment terms include:

• Payment schedules will be outlined in project proposals
• Invoices are due within the timeframe specified in the agreement
• Late payments may incur additional fees
• Work may be suspended if payments are not received on time
• All fees are in the currency specified in the agreement

Project Timelines and Delays

We strive to meet all agreed-upon deadlines. However, timelines are estimates and may be affected by factors including client feedback delays, scope changes, or unforeseen technical challenges. We will communicate any potential delays promptly and work to minimize their impact.

Warranties and Disclaimers

We warrant that services will be performed with professional skill and care. However:

• Services are provided "as is" without warranties of any kind, either express or implied
• We do not guarantee that services will be uninterrupted or error-free
• We are not responsible for third-party services, hosting, or platforms
• Client is responsible for maintaining backups of their data

Limitation of Liability

To the maximum extent permitted by law, Lyntech Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with our services. Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of our business relationship. This obligation continues even after the termination of services. We will not disclose client information to third parties except as required by law or with client consent.

Termination

Either party may terminate services under the following conditions:

• With written notice as specified in the service agreement
• Immediately if the other party breaches these Terms
• Upon mutual written agreement

Upon termination, you remain responsible for payment for services rendered up to the termination date. We will provide you with work completed to date upon receipt of payment.

Dispute Resolution

Any disputes arising out of or relating to these Terms or our services shall be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the laws of the Philippines, with proceedings held in Cavite, Philippines.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Philippines, without regard to its conflict of law provisions.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
